This is an appeal from a final judgment of the
Court of Chancery awarding counsel fees and
expenses and an incentive award of 26.67% of
a $1 billion settlement, or $266.7
million. The settlement and fee award
followed years of contentious litigation
challenging Dell Technologies’ redemption
of Class V stock for what the plaintiff claimed
was an unfair price. The Supreme Court of
Delaware found that the Court of Chancery did
not exceed its discretion in setting the fee
percentage and affirmed its judgment.
